Incorporate a Hong Kong private company limited by shares on Form NNC1 for HK$1,545 electronically (HK$1,720 on paper) and receive the Certificate of Incorporation and the Business Registration Certificate together under the one-stop service — the one-year certificate is HK$2,350 from 01.04.2026, now that the HK$150 insolvency-fund levy waiver has ended. One shareholder (maximum 50) and one director are enough, 100% foreign ownership is standard, and there is no VAT or GST and no monthly PAYE withholding. Profits tax runs on two tiers: 8.25% on the first HK$2m of a corporation's assessable profits and 16.5% above (7.5% / 15% unincorporated). The recurring obligations are real, though: a company secretary resident in Hong Kong who cannot be a sole director, a Significant Controllers Register kept at the registered office, an Annual Return within 42 days of the incorporation anniversary (HK$105 on time, up to HK$3,480 late), an annual audit with no small-company exemption, and MPF contributions of 5% + 5% each month.
