Corporate Secretary in Hong Kong
The company secretary every Hong Kong company must appoint — an individual ordinarily resident in Hong Kong, or a body corporate with its registered or principal office in Hong Kong — maintaining the statutory registers and minute books, preparing board and member resolutions and making the Companies Registry filings. A sole director cannot also be the company secretary, so a single-founder company must appoint someone else or use a provider. The same engagement covers the designated representative for the Significant Controllers Register, who must be a Hong Kong-resident shareholder, director or employee, or an accounting, legal or TCSP professional; the register is kept at the registered office or another place in Hong Kong notified on Form NR2 within 15 days, and failing to keep it is an offence.
