Constitute a Sociedade Limitada (two or more quotaholders, no statutory minimum capital), an SLU (a single owner — it replaced the extinguished EIRELI and also has no minimum capital) or an S.A. by filing the contrato social with the Junta Comercial of the state of the seat; the CNPJ is generated through Redesim, then the inscrição municipal (ISS) and, for goods, the inscrição estadual (ICMS) follow. The administrador must be a natural person resident in Brazil; a foreign quotaholder needs a CPF (a foreign corporate quotaholder a CNPJ enrolment) and, if resident abroad, a resident procurador empowered to receive service of process, with foreign documents apostilled or consularised and sworn-translated into Portuguese. Outside Simples Nacional the company pays IRPJ at 15% plus a 10% surtax on profit above R$20,000 a month and CSLL at a general 9%; companies with gross revenue up to R$4.8m a year may elect the unified Simples Nacional DAS instead. Registration fees are set per state by each Junta Comercial, so there is no single national figure. Everything is transacted in Portuguese.
