Form a Delaware LLC ($110), a Delaware C-Corporation (from $109, rising with authorised shares) or a Wyoming LLC ($100), appoint the mandatory registered agent, and get the IRS EIN — then stay in good standing: a Delaware corporation pays franchise tax and files its annual report by 1 March (minimum $175 or $400 depending on method, plus a $50 report fee), while a Delaware LLC simply pays a flat $300 by 1 June. Federal corporate tax is a flat 21% on Form 1120. Forming in Delaware does NOT exempt you from tax in the state where you actually operate, and there is no federal sales tax or VAT — state income, franchise and sales tax are per-state and quoted state by state. US-formed entities are exempt from FinCEN BOI reporting.
