Register a private company limited by shares (one shareholder and one director are permitted), a Plc, a company limited by guarantee, a business name or incorporated trustees with the Corporate Affairs Commission under CAMA 2020, filed end-to-end on the CAC portal with a mandatory persons-with-significant-control declaration. CAC charges by share capital — NGN 10,000 per NGN 1,000,000 (or part) for a private company, NGN 20,000 per million for a public company — on top of NGN 1,000 name reservation; a business name is NGN 10,000 and incorporated trustees NGN 40,000. FIRS issues the TIN on incorporation. Under the Nigeria Tax Act 2025 (effective 1 January 2026) Companies Income Tax is 0% for a small company (turnover of NGN 50m or less and fixed assets of NGN 250m or less) and 30% otherwise, plus a 4% Development Levy on assessable profits from which small and non-resident companies are exempt; VAT is 7.5%. PAYE is a state tax collected by the State Internal Revenue Service. A foreign investor incorporates a Nigerian company rather than operating a branch, then adds NIPC registration, a Business Permit, expatriate quota and a Certificate of Capital Importation. English is official throughout, so no translation is needed.
