Singapore is one of the most popular places in Asia to base a holding or operating company, and for good reasons: a clean, digital registrar, a strong legal system, an extensive treaty network, and a reputation that opens banking and customer doors. It is also a country with specific local requirements that you cannot fulfil from a laptop abroad, so it pays to understand them before you commit.
The private limited company
The workhorse structure is the private limited company. It gives you limited liability, a clear share structure, and the credibility of a Singapore entity. Foreign founders can own it fully. What foreign founders cannot do is satisfy every local requirement alone — and that is where setup either goes smoothly or stalls.
The two requirements that catch people out
- A resident director. A Singapore company must have at least one director who is ordinarily resident in Singapore. If you are based overseas, you will need to arrange this, either through a local co-founder or a nominee-director arrangement. It is the single most common thing foreign founders overlook.
- A company secretary. Every company must appoint a qualified company secretary within the statutory window after incorporation, and keep the role filled. This is not a formality — the secretary is responsible for a lot of the ongoing statutory housekeeping. Ongoing obligations
A Singapore company files an annual return, holds (or formally dispenses with) an annual general meeting, keeps proper registers, and files its tax return on the authority's schedule. Employees bring their own obligations, including CPF contributions for those who qualify. None of this is onerous, but it is continuous — the entity needs tending every year, not just at birth.
Is it right for you?
Singapore rewards businesses that will actually use it — real customers, real banking, a genuine Asian footprint or a treaty benefit you can point to. It is less compelling as a purely cosmetic address, because the local requirements and annual upkeep mean it is not the cheapest shell to maintain.
