Company Incorporation in Singapore
Incorporation of a Singapore company through ACRA's BizFile+ — name application (S$15, the approved name reserved for 120 days) followed by registration of the entity (S$300 for a local company). The default vehicle is the Private Company Limited by Shares (Pte Ltd): one shareholder minimum, a maximum of 50 members, and at least one director ordinarily resident in Singapore. A company secretary — a natural person ordinarily resident in Singapore, and not the sole director — must be appointed within six months of incorporation. Companies incorporated on or after 16 June 2025 must set up their Register of Registrable Controllers (RORC) and file the controller information with ACRA on the day of incorporation, with no grace period. Alternatives: an Exempt Private Company (the same filing, 'exempt' status following from having 20 or fewer members and no corporate shareholder), an LLP, a sole proprietorship, or registration of a foreign company as a branch (S$300) under Companies Act 1967 Part XI.

Approved company name
The name application must be lodged and approved before the registration filing. One per company; the approved name is reserved for 120 days.
For EACH director: full name, identification (NRIC for residents, passport for foreign nationals), residential address and signed consent to act
At least one director must be ordinarily resident in Singapore (VERIFIED on ACRA's appointing-officers page).
For EACH shareholder: full name and identification (NRIC/passport for an individual, registration details for a corporate shareholder) and the number and class of shares held
Per shareholder — minimum 1, maximum 50 for a private company. A person who is both director and shareholder supplies one identity set; a corporate shareholder supplies its registration details rather than personal ID.
Company secretary particulars
Not strictly required at the incorporation filing — the secretary may be appointed within 6 months — but must be a natural person ordinarily resident in Singapore and cannot be the sole director.

A local address; a P.O. box is not acceptable. The owner's consent may be required.

Name Approved
Name application lodged with ACRA (S$15) and approved; the approved name is reserved for 120 days.
KYC Completed
Director and shareholder due diligence completed. A foreign founder without Singpass, or a foreign corporate shareholder, is onboarded through a registered filing agent under its own KYC.
Incorporated
Registration filed on BizFile+ (S$300 for a local company, S$300 for a foreign branch); the business profile is issued.
RORC Filed
The Register of Registrable Controllers is set up and the controller information filed with ACRA — on the day of incorporation for companies incorporated on or after 16 June 2025.
Company Secretary Appointed
A natural person ordinarily resident in Singapore (not the sole director) is appointed as company secretary, within six months of incorporation.
