Economic Substance (ESR) in British Virgin Islands
The annual economic-substance report. The regime applies to every BVI legal entity — company or limited partnership — that is not tax-resident outside the BVI. An entity carrying on any of the nine relevant activities (banking, insurance, fund management, finance and leasing, headquarters, shipping, holding business, intellectual property, and distribution and service-centre business) must either demonstrate substance in the BVI or, if it claims residence elsewhere for tax purposes, provide proof of it; a pure equity-holding entity faces a reduced substance test. Information is reported to the ITA within six months of the end of each economic-substance financial period, and a BC's default first period runs for one year from the anniversary of the Act's commencement, so most reports fall due around year end. Even a dormant entity, or one not in good standing, must report annually. Penalties escalate, and serious or continued non-compliance can bring strike-off, fines and, in the gravest cases, imprisonment. A BVI BC must at all times have a registered office in the BVI (s.90) and a registered agent licensed under the Company Management Act or the Banks and Trust Companies Act (s.91); only the registered agent may file the incorporation application (s.6(2)) or pay the annual government fee (s.236(3)). Comriq coordinates the licensed agent — a founder cannot self-file.

Activity Classified

Substance Evidence Assembled
Core income-generating activity, expenditure, premises, employees and direction and management in the BVI are documented for the financial period — or proof of tax residence elsewhere is assembled.
Report Filed with the ITA
The registered agent files the economic-substance information to the International Tax Authority through the BOSS / VIRRGIN system within six months of the end of the economic-substance financial period.
