Formation of a Thai company with the DBD — reserve the name, file the Memorandum of Association naming the promoters (a minimum of 2 since the Civil and Commercial Code amendment effective 7 February 2023, reduced from 3), hold the statutory meeting adopting the Articles and appointing directors and auditor, then register the company. Under the Foreign Business Act B.E. 2542 a company is 'foreign' where 50% or more of the shares are held by non-Thais, and foreigners are generally capped at 49% in businesses on the FBA restricted lists; majority or 100% foreign ownership is possible only via a Board of Investment (BOI) promotion, the US–Thai Treaty of Amity (US nationals/companies), or a Foreign Business Licence/Certificate from the Ministry of Commerce.
