Company Incorporation in Seychelles
Formation of a Seychelles vehicle with the FSA Registry through a licensed registered agent — mandatory, because an IBC cannot be incorporated or maintained without an FSA-licensed International Corporate Service Provider. The flagship International Business Company (International Business Companies Act 2016) needs one shareholder and one director, which may be the same non-resident person, and corporate directors are permitted; bearer shares are not. FSA fees are flat and do not vary with share capital: US$130 to register a non-PCC IBC and US$140 a year thereafter. A Company Special Licence (US$200 application, US$1,000 a year) buys treaty access at the cost of economic substance and audited accounts; a Limited Partnership, Foundation and International Trust are registered on the same schedule. Seychelles taxes territorially — since 1 January 2019 an IBC is taxable only on Seychelles-source income and foreign-source income is exempt. English is the language of company law and of the FSA throughout.

Every column is a vehicle you can actually incorporate here, and each is bought on its own terms. Every fact carries where it was read: on the authority’s own page, or — marked Indicative — on a filing platform or publication we name and link. Anything we could not read anywhere is marked Pending verification and confirmed with the authority before you pay.
| International Business Company (IBC)The flagship Seychelles offshore vehicle — international trading, holding, consulting and asset-holding structures that do not carry on business within Seychelles. One shareholder and one director (may be the same non-resident person), corporate directors permitted, no bearer shares | Company Special Licence (CSL)A Seychelles tax-resident, treaty-oriented company wanting access to the double-tax treaty network and prepared to demonstrate economic substance and file audited accounts — the former 1.5% preferential rate was removed in 2018 (grandfathered to 30 June 2021). Two directors is the commonly stated rule; we confirm the requirement against the Companies (Special Licences) Act for your structure before you file | Limited Partnership (LP)Fund and investment structures and joint ventures wanting partnership treatment — at least one general partner (unlimited liability, hence the classification here) and one limited partner whose exposure is capped at its contribution | FoundationAsset protection, succession and philanthropic structuring — an orphan legal person with no shareholders at all, holding assets for beneficiaries or a purpose; counted here as one owner (the founder) because the model requires a number. Established via a licensed Foundation Service Provider | International TrustCross-border estate planning and asset protection — not a body corporate: a settlor transfers assets to a licensed Seychelles trustee for beneficiaries, who take no personal liability. How it runs
You will see these exact stages update in your client portal as we progress.
Engage a Licensed Registered Agent
A Seychelles FSA-licensed International Corporate Service Provider must file the incorporation; an IBC cannot be formed or maintained without one.
KYC & Beneficial Ownership
The agent collects due-diligence documents and beneficial-ownership information for the BO register (Beneficial Ownership Act 2020).
Name Approval & Constitution
Reserve and approve the company name and adopt the memorandum and articles of association (or charter, trust deed or partnership agreement).
Filed with the FSA
The agent files with the FSA Registry and pays the US$130 registration fee for a non-PCC IBC.
Certificate of Incorporation Issued
The FSA issues the certificate of incorporation. Turnaround is typically a few business days, but the FSA publishes no processing SLA — the window shown is a conservative Comriq delivery estimate, not a statutory timeline.
