Annual Compliance in Seychelles
Keeping a Seychelles entity in good standing, all of it routed through the registered agent. The flat annual government fee falls due on the anniversary of incorporation — US$140 for a non-PCC IBC regardless of activity, including a dormant one (US$500 for a PCC, US$1,000 for a CSL, US$200 for a Foundation or an LP); late payment attracts penalties and ultimately strike-off. The agent keeps an up-to-date beneficial-ownership register at its Seychelles office and reports to the central FIU BO database, and since 2021 an IBC must keep its accounting records at its registered office in Seychelles with a financial summary — where the underlying records are held abroad they must be lodged with the agent on at least a biannual basis. Nothing is filed publicly: the records are produced on request of a competent authority. Economic substance bites mainly on CSLs and on companies with Seychelles-source or IP income, not on a plain IBC earning only foreign-source, non-IP income.

Financial summary held at the registered office
Not filed with any authority, but must be produced on request of a Seychelles competent authority.

A plain IBC with only foreign-source, non-IP income is generally outside the substance test.
Cost breakdown
Our fee and the government’s are always separate lines. Government fees are passed through at exactly what the authority charges — we add nothing to them.
| IBC (non-PCC) — flat annual government fee, due on the anniversary of incorporationVERIFIED from the FSA fee schedule (Appendix A): "IBC (non-PCC) … Annual Fee US$140". Flat — it does not vary with share capital. CAUTION: some service-provider sites cite US$150 for 2025/26 renewals; that is a competitor claim, not an authority, and the FSA schedule fetched (Version 5 July 2022) shows US$140. The FSA publishes this fee in USD (it administers these products in USD even though the national currency is SCR); the client pays the local equivalent at settlement — no conversion is applied here. | $140Indicative — from fsaseychelles.sc, not confirmed on a government portal. We confirm the exact amount before you pay. |
| Company Special Licence (CSL) — annual licence feeonly if it appliesVERIFIED from the FSA fee schedule (Appendix B: Fiduciary): "Companies (Special Licenses) … Annual Licence Fee US$1,000". The FSA publishes this fee in USD (it administers these products in USD even though the national currency is SCR); the client pays the local equivalent at settlement — no conversion is applied here. | $1,000Indicative — from fsaseychelles.sc, not confirmed on a government portal. We confirm the exact amount before you pay. |
| Foundation — annual feeonly if it appliesVERIFIED from the FSA fee schedule (Appendix A): "Foundation … Annual Fee US$200". The FSA publishes this fee in USD (it administers these products in USD even though the national currency is SCR); the client pays the local equivalent at settlement — no conversion is applied here. | $200Indicative — from fsaseychelles.sc, not confirmed on a government portal. We confirm the exact amount before you pay. |
| Limited Partnership — annual feeonly if it appliesVERIFIED from the FSA fee schedule (Appendix A): "Limited Partnership … Annual Fee US$200". |
| International Trust — annual feeonly if it appliesThe FSA fee schedule (Appendix A) shows N/A in the Annual Fee column for a trust — no annual FSA fee is listed against it, and the schedule does not state a zero, so no amount is published here. | Confirmed before payment |
| Late-payment penalties and restoration after strike-offonly if it appliesNon-payment of the annual fee leads to penalties and ultimately strike-off and dissolution, with restoration possible on payment of arrears within a statutory window. Confirm in the consolidated IBC Act 2016 on the FSA legislation page. | Confirmed before payment |
| Comriq professional fee | Fixed fee within 1 business day |
These are the authority’s published lines. Which of them apply depends on your filing — a schedule by headcount, capital or entity type is one line, not all of them — and the applicable line is confirmed before payment, at cost.
How it runs
You will see these exact stages update in your client portal as we progress.
Annual Fee Paid
The flat annual government fee is paid to the FSA through the registered agent on the anniversary of incorporation, keeping the entity in good standing.
BO Register Updated
Beneficial-ownership details are confirmed or updated with the registered agent and reported to the central FIU beneficial-ownership database.
Accounting Records Lodged
Accounting records kept outside Seychelles are lodged with the registered agent (at least biannually) and the financial summary is held at the registered office.
Substance Position Reviewed
Economic-substance exposure is reviewed where the entity is a CSL or derives Seychelles-source or IP income; a plain IBC with only foreign-source, non-IP income is generally outside it.
Indicative guidance — confirmed before payment
Requirements and statutory fees are set by Financial Services Authority (FSA) — annual fee and IBC Act 2016 record-keeping; Financial Intelligence Unit (FIU) — Beneficial Ownership Act 2020 and change without notice.
