Company Incorporation in Malaysia

Incorporation of a Malaysian company with SSM through the MyCoID 2016 portal under the Companies Act 2016. The private company (Sendirian Berhad / Sdn Bhd) — the standard operating and foreign-subsidiary vehicle — can be formed with a single member and a single director; a public company (Berhad) needs at least two directors. Every company must maintain a registered office in Malaysia, keep at least one director ordinarily resident in Malaysia, and appoint a qualified company secretary within 30 days of incorporation. A limited liability partnership (PLT) is registered via the separate MyLLP portal.

  • Particulars and identity proof of each director

    Per director; each must be at least 18, not an undischarged bankrupt and not disqualified. At least one director must be ordinarily resident in Malaysia (Companies Act 2016 s.196); a Berhad needs two. A foreign individual uses passport identification.

    Per member (minimum one for a Sdn Bhd; capped at 50). A corporate shareholder provides its certificate of incorporation and a board resolution instead of individual ID.

    Mandatory within 30 days of incorporation (Companies Act 2016 ss.235–236). The secretary must be a member of a prescribed professional body or licensed by SSM.

  2. Name Cleared

    Reserve the name (RM50, 30 days, extendable to 180) or clear it directly within the incorporation submission.

  3. SuperForm Submitted

    Complete the incorporation SuperForm with applicant, director, shareholder and company particulars and the declaration, then pay the RM1,000 fee online.

  4. Notice of Registration

    SSM issues the Notice of Registration (certificate of incorporation on request).

  5. Company Secretary Appointed

    A qualified company secretary is appointed within 30 days of incorporation.
