Constitution of a Mexican company by either of two genuinely different routes. The Sociedad por Acciones Simplificada (SAS) is the only Mexican commercial company that can be constituted free of charge, fully online and in up to 24 hours, with no notary or corredor público, at gob.mx/tuempresa — but every shareholder must be a natural person (a corporate parent cannot hold a SAS) with a valid e.firma, and total annual income may not exceed 5,000,000 MXN, above which it must convert. (two to fifty socios holding partes sociales) and the S.A. (two or more accionistas holding shares, with a comisario) are constituted by public deed before a notario or corredor público and inscribed in the state Registro Público de Comercio through SIGER/PSM; neither has a fixed statutory minimum capital under the current LGSM ('de C.V.' means variable capital). Both routes require the Autorización de uso de Denominación from the Secretaría de Economía first — free, resolved within 48 hours, signed with e.firma, and the use of the authorised name must be notified within 180 calendar days. Where foreign investment participates, the company must be inscribed in the Registro Nacional de Inversiones Extranjeras (RNIE). Notarial honorarios and the registry's derecho de inscripción are set by each state, so there is no national figure for either.

Valid e.firma (Firma Electrónica Avanzada) for each founding shareholder
Per shareholder. The SAS is signed electronically, so every socio must hold a current e.firma issued by SAT, and all socios must be personas físicas — a company cannot be a SAS shareholder. Whether a non-resident foreign individual can obtain the e.firma/RFC needed to sign was not confirmed with SAT/SE and is checked at quote.

The RFC and tax regime are needed before the company can issue CFDI 4.0 or file ISR/IVA. Company Name Authorised
Request the Autorización de uso de Denominación from the Secretaría de Economía via gob.mx/tuempresa (MUA) — free, resolved within 48 hours, signed with e.firma.
e.firma in Place
For the SAS route, each natural-person shareholder obtains or renews a valid SAT e.firma so the electronic constitution can be signed.
Company Constituted
Either complete the SAS form on gob.mx/tuempresa and adopt the template statutes (free, up to 24 hours, no notary), or have a notario / corredor público protocolise the escritura constitutiva with the estatutos, capital social and appointment of management (and a comisario for an S.A.).
Registered in the Registro Público de Comercio
For a deed-based company or a branch, the deed is inscribed in the state Registro Público de Comercio through SIGER/PSM, giving the company standing against third parties.
RFC Registered with SAT
Obtain the company's RFC and tax regime with SAT so it can issue CFDI 4.0 and file ISR and IVA returns.
Foreign Investment Registered (RNIE)
Where foreign investment participates, inscribe the company in the Registro Nacional de Inversiones Extranjeras and keep the aviso de actualización and periodic economic reports current.
