Company Incorporation in Georgia

Registration of a Georgian entity at the NAPR through a Public Service Hall. The state fee is 200 GEL for a legal entity (LLC, JSC, partnership or a branch of a foreign enterprise) on a one-working-day deadline, or 400 GEL for same-day registration; an individual entrepreneur is 26 GEL, or 75 GEL same-day. An LLC has no minimum share capital, 100% foreign ownership is permitted and there is no resident-director requirement. NAPR assigns a taxpayer identification number on registration, so the entity is live for tax with the Revenue Service immediately; an official English-language register extract is available for an additional 26 GEL.

Every column is a vehicle you can actually incorporate here, and each is bought on its own terms. Every fact carries where it was read: on the authority’s own page, or — marked Indicative — on a filing platform or publication we name and link. Anything we could not read anywhere is marked Pending verification and confirmed with the authority before you pay.

What we will need from you

Upload these once. They are stored encrypted and reused across every service you buy from us.

  • At least one founder/shareholder and one director

For an LLC these may be the same single non-resident person. A partnership needs two or more partners; a branch needs an appointed branch representative.

  • Company charter / articles of association

Governed by the Law of Georgia on Entrepreneurs (2021 recast).

  • Consent of the director (and, for a branch, the decision to open it and appoint a representative)

  • Identity document for each founder — passport for a foreign individual

  • Registered Georgian legal address, with the address owner's consent to registration

Commonly provided through a virtual-office / address provider.

  • Notarised and apostilled power of attorney to a Georgian representative, for remote registration

    Confirmed at quote.

  • For a foreign corporate founder or a branch: the parent's certificate of registration/extract and charter

Foreign corporate documents generally require notarisation/apostille and certified Georgian translation.

These are the authority’s published lines. Which of them apply depends on your filing — a schedule by headcount, capital or entity type is one line, not all of them — and the applicable line is confirmed before payment, at cost.

How it runs

You will see these exact stages update in your client portal as we progress.

  1. Name and Charter

Select a company name and prepare the charter/articles; foreign founders' documents are notarised, apostilled and translated into Georgian where required.

  2. Registered Address

Obtain a Georgian legal address and the address owner's consent to registration.

  3. Filed at NAPR

The registration application is submitted at a Public Service Hall (or by an authorised representative under power of attorney) and the state fee paid — 200 GEL for one working day or 400 GEL same-day for a legal entity, 26/75 GEL for an individual entrepreneur.

  4. Registered + Tax ID

NAPR registers the entity — typically within one business day, same day if expedited — and a taxpayer identification number is assigned at the same time, so the entity is live for tax with the Revenue Service.

  5. Bank Account & Tax Elections

Open a Georgian bank account and, where applicable, apply to the Revenue Service for Small Business Status, Virtual Zone Person or International Company status.
