Company Incorporation in Cyprus

Formation of a Cyprus company — the proposed name is approved (€10/name), the memorandum and articles are signed in Greek, an admitted Cyprus lawyer swears the statutory declaration (Form HE1) before the court, and Forms HE1/HE2/HE3 are filed with the DRCIP for a total €165 registration fee. A private company limited by shares needs one shareholder and one director (who may also be the secretary); a public company needs seven members and two directors. 100% foreign ownership is permitted; the only compulsory local connection is a registered office in the Republic. Every Cyprus company must prepare audited IFRS financial statements regardless of size.

    One per incorporation; incorporation is effectively lawyer-fronted because HE1 requires an admitted Cyprus lawyer.

  • Form HE2 — notification of the registered office address in the Republic

    One per company; a real Cyprus address is compulsory.

  • Form HE3 — notification of the first directors and the company secretary

    One per company, listing every director and the secretary. A single-member private company's sole director may also act as secretary.

  • Memorandum and Articles of Association — duly signed IN THE GREEK LANGUAGE, subscribed by each shareholder

    The Greek-language MOA is a verified statutory filing requirement; subscribed by at least 7 members for a public company.

  • Form HE5 — consent of each director to act (PUBLIC companies only)

    Applies to public companies; carries a €20 fee.

  • Identity/KYC documents for each director and each shareholder (passport, proof of address, references)

    The exact per-person set is driven by the lawyer's AML/KYC duties. For a FOREIGN NATIONAL or FOREIGN BODY CORPORATE, the charter / board resolution / identity documents generally need apostille (Hague states) or consular legalisation and a certified Greek translation; the precise set and legalisation route are confirmed at quote.

How it runs

    File the name-approval application (€10/name, +€20 accelerated) with the DRCIP and obtain approval of the proposed name.

  2. Greek-Language MOA Signed

    Draft and sign the memorandum and articles of association, which must be duly signed in the Greek language.

  3. HE1 Sworn Before the Court

    The entrusted Cyprus lawyer signs and swears the statutory declaration (Form HE1) before the court.

  4. Forms Filed and €165 Paid

    Submit Forms HE1, HE2 and HE3 with the €165 total registration fee (accelerated +€100).

  5. Certificate of Incorporation Issued

    The Registrar issues the certificate of incorporation; certified copies are an optional €120 add-on.
