Annual Compliance in Switzerland

The annual corporate pack — preparation of the financial statements to the Code of Obligations accounting standard, their approval by the general meeting, and the statutory audit where in scope. An ORDINARY audit applies if the company exceeds two of three thresholds in two successive years (balance sheet CHF 20m / revenue CHF 40m / 250 FTE); otherwise a LIMITED audit (review) applies, which a small company with fewer than 10 FTE can opt out of with unanimous shareholder consent. Swiss companies do not publish annual accounts the way some registries require — statements are prepared and audited rather than filed publicly.
