Ultimate Beneficial Owner (UBO) in Canada

The CBCA individuals-with-significant-control regime — a live and recently expanded obligation, not a historic one. Since 22 January 2024 a CBCA corporation must not merely keep a private ISC register but FILE the ISC information with Corporations Canada, which publishes it subject to limited exceptions. Filings are due at incorporation, amalgamation or continuance, annually at the same time as the annual return, and within 15 days of any change to the register. The filed information includes each ISC's full legal name, date of birth, citizenship, country or countries of tax residence, addresses, the dates of becoming and ceasing to be an ISC and a description of the significant control held; an individual may give an address for service instead of a residential address. Public or distributing corporations are generally exempt from maintaining an ISC register. Non-filing feeds the administrative-dissolution track.
