Annual Compliance in Belize

Keeping a Belize entity in good standing, all of it routed through the licensed registered agent. The annual government fee is paid to BCCAR to maintain good standing — BZ$200 for a company with authorised capital at or below BZ$50,000, BZ$2,000 above it, BZ$200 for a Foundation and US$150 for an International LLC — and non-payment leads to penalties and ultimately strike-off, with restoration then required (BZ$500 for a Foundation). Alongside the fee sit the two load-bearing offshore obligations: the annual economic-substance declaration to the Financial Services Commission, in which every entity classifies itself as included (carrying on a relevant activity and needing substance in Belize), non-included (managed and tax-resident abroad with no relevant activity in Belize) or a pure holding company on the reduced test; and the beneficial-ownership register kept current by the agent under the Beneficial Ownership Act. Accounting records must also be kept so that financial statements can be prepared. The FEE amounts are verified; the ES and BO mechanics are not, so this variant is indicative.

    A records obligation is a core post-2019 change (records reportedly kept for at least five years and produced on request, typically via the registered agent), but the retention period and the location rule must be confirmed in the Accounting Records (Maintenance) Act / the Belize Companies Act 2022.

  1. Annual Government Fee Paid

    The BCCAR annual fee is paid through the registered agent to keep the entity in good standing (BZ$200 at or below BZ$50,000 authorised capital, BZ$2,000 above). The exact due-date rule is confirmed on the renewal notice, not assumed.

  2. Economic-Substance Declaration Filed

    The annual declaration is filed with the Financial Services Commission, classifying the entity as included, non-included or holding. Every Belize entity must classify and file — this is the load-bearing offshore obligation.

  3. Beneficial-Ownership Register Updated

    Beneficial-ownership details are confirmed or updated with the registered agent under the Beneficial Ownership Act.

  4. Accounting Records Reviewed
